Terms of Service

Phasegate is operated by Delvir LLC, a Wyoming limited liability company, 30 N Gould St Ste R, Sheridan, WY 82801 (“Delvir,” “we,” “us”). These terms are an agreement between Delvir and the person or company using Phasegate (“you”).

1. What Phasegate is

Phasegate is an independent web service for US small businesses that hold SBIR or STTR federal awards. It reads public federal award and solicitation records, shows a company’s award and phase history as a timeline with typical next-phase eligibility windows, matches open solicitations to a company profile the customer writes, provides a Commercialization Plan drafting workspace, and sends email alerts and digests.

2. No federal affiliation

Phasegate is an independent service. It is not affiliated with, endorsed by, or acting on behalf of the U.S. Small Business Administration, the SBIR/STTR program, or any federal agency. We do not use any agency seal or insignia. Nothing produced in Phasegate is submitted to any federal system on your behalf — every submission to a federal agency remains something you do yourself, outside this service.

3. No guarantee of award, eligibility, or outcome

Dates, windows, and eligibility indicators in Phasegate are derived from public federal records and heuristics about typical agency timing. They can lag or be wrong. The official solicitation, and the agency issuing it, are always the authority — not Phasegate. We make no representation that any company is eligible for any award, program, or solicitation. Nothing in Phasegate is legal, accounting, or contracting advice. We make no win-rate, success-rate, or outcome claim of any kind, anywhere in this service, and none should be inferred from anything we show you.

4. Data we will not accept

You may not upload, paste, or otherwise submit to Phasegate: classified information; Controlled Unclassified Information (CUI); export-controlled technical data under the International Traffic in Arms Regulations (ITAR, 22 CFR 120–130) or the Export Administration Regulations (EAR, 15 CFR 730–774); proposal technical volumes; or any third party’s proprietary or trade-secret data. Phasegate is not authorized to process CUI and is not CMMC-certified.

We scan submitted text for markings and language associated with these categories and refuse to save text that matches. That scan is a control, not a guarantee: it can miss things, and it can flag things that turn out to be fine. Responsibility for what you submit rests entirely with you. 5. Accounts and acceptable use

When accounts open, you agree to provide accurate information, keep your credentials secure, and use one account per organization. Sharing a single account across unrelated organizations, scraping or reselling the underlying data corpus, and attempting to circumvent rate limits or usage caps are all prohibited. We may suspend an account used in a way that threatens the service or violates these terms.

6. Subscriptions and billing

Phasegate is offered on four tiers: Free; Pursue at $99 per month or $990 per year; Portfolio at $299 per month or $2,990 per year; and Cohort, sold annually and invoiced directly for programs and accelerators. A 14-day trial may be offered on paid tiers.

Paid subscriptions are charged through Stripe and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the paid period you already paid for, and we do not refund partial periods except where the law requires it. We may change prices on notice, effective at your next renewal.

7. Your content

You own the company profile, plan drafts, and other material you write in Phasegate. You grant us only the licence we need to store, process, and display that content in order to run the service for you. We do not use your content to build a product for anyone else.

8. Disclaimer of warranties

Phasegate is provided “as is” and “as available,” without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that public federal data reproduced in the service is accurate, complete, or current.

9. Limitation of liability

To the maximum extent permitted by law, Delvir LLC’s total aggregate liability arising out of or relating to Phasegate will not exceed the greater of the amounts you actually paid us in the twelve months before the claim, or one hundred US dollars. We are not liable for any consequential, incidental, special, punitive, or indirect damages, or for any lost profits, lost awards, lost contracts, or lost business opportunity, even if advised of the possibility.

10. Indemnification

You agree to indemnify and hold Delvir LLC harmless against claims, damages, and expenses arising from: content you submit to Phasegate; any violation by you of export-control, classification, or data-rights obligations; and your use of anything Phasegate produces.

11. Time to bring a claim

Any claim arising out of or relating to these terms or the service must be brought within one year of the event giving rise to it, or it is permanently barred.

12. Class-action waiver

Any claim must be brought in your individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.

13. Governing law and venue

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute not resolved informally will be brought in the state or federal courts located in Sheridan County, Wyoming, except that either party may bring an individual claim in small-claims court where the amount qualifies.

14. Suspension and termination

We may suspend or terminate access for a violation of these terms. You may stop using Phasegate at any time. On termination, your right to use the service ends; on request, we will export your own content to you in a common format before deleting it.

15. General

If any provision of these terms is found unenforceable, the rest remain in effect. These terms are the entire agreement between you and Delvir LLC regarding Phasegate. We may assign these terms in connection with a merger, acquisition, or sale of assets. A failure to enforce a provision is not a waiver of it. Neither party is liable for delay or failure caused by events beyond its reasonable control.

16. Changes to these terms

We may update these terms from time to time. We will post the new effective date here and, for material changes, notify you by email or in-product notice.
